1.0 Muglo Constitution
1.1 NAME:
The organization shall be called "Macintosh User Group of London Online, hereinafter referred to as Muglo.
1.2 PURPOSE: Muglo is a non-profit organization composed of and supported by users of Apple technology for the purpose of education and the exchange of information.
1.2.1 Muglo shall be operated without the purpose of pecuniary gain to any of the members and any surplus or accretions of Muglo shall be used solely for the purposes of Muglo and for the promotion of its objects.
1.3 EXECUTIVE OFFICERS: The elected members of the MUGLO Executive will manage the affairs of Muglo. They shall include the President, the Secretary/Treasurer and the Webmaster/Membership Recorder. Their terms of office will be twelve months.
1.3.1 The President is responsible for the supervision and administration of the affairs of Muglo, ensuring that policies and actions approved by the general membership or by the Executive Committee are properly implemented. The President may exercise veto powers if she/he deems it necessary to protect the interests of Muglo, (i.e.. for reasons of contractual or legal liability). On completion of his or her term as President, he/she shall become ex officio an appointed member of the Executive for the duration of the subsequent President's term of office.
1.3.2 Any Executive Officer may fulfill the duties of the President when that person is temporarily absent or otherwise unable to perform the duties of the office and shall perform such other specific duties as assigned by the President, the Administration or the general membership.
1.3.3 The Past-President is available to undertake any special duties assigned by the President or requested by the Executive. The Past President provides continuity from the previous Executive and primarily acts in an advisory capacity.
1.3.4 The Secretary is responsible for official correspondence. The Secretary shall prepare, maintain, and distribute minutes of the Muglo Executive or other administrative meetings.
1.3.5 The Treasurer is responsible for the care and custody of the funds and other financial assets of Muglo and for making payments for all business expenses incurred by Muglo. The Treasurer maintains books of the accounts which shall be made available for inspection by members at any reasonable time on request. Annually, the Treasurer shall present an independent internal audited account of the finances of Muglo.
1.3.6 The Webmaster is responsible for maintaining the MUGLO web site, MUGLOnline and the MUGLO List (currently on ListBot). Webmaster will also be responsible for encouraging and promoting membership, and shall provide lists of members as required by other Executive members.
1.3.7 The Membership Recorder will be responsible for all aspects of the membership function, to include registration of new members, collection of membership dues and the maintenance of membership lists.
1.3.8 Elections of Executive Officers shall take place Annually by means of EMail.
1.4 Executive Officers shall remain in office until their successors are elected or appointed, unless they resign, or are removed from office by a two-thirds vote of the body that elected them. Written notice must be given to the Secretary of a motion to remove an officer. The officer concerned shall be given an opportunity to speak before such a motion is put to a vote.
1.5 Authority: The general membership shall retain all powers of Muglo at all times.
1.5.1 Meetings: Muglo may hold meetings "online", or physically, as and when the Muglo Executive may determine. The Executive Officers shall meet as needed.
1.5.2 The Annual General Meeting shall be held in the month of June each year.
1.5.3 Special Interest Groups (SIGs) are encouraged so that groups of members may meet to discuss a topic of common interest. Such groups will be advertised on the web site for the benefit of members who may wish to join the group.
1.6 Amendments: This Constitution and Bylaws shall be amended by a majority vote of the Muglo membership, as determined by the Membership Recorder, currently the "Listbot" list, provided that such amendments are submitted in writing to the Secretary, and that at least two weeks' notice is given to the Muglo membership.
2.0 Muglo Bylaws
2.1
Membership in Muglo is open to all persons who express an interest in pursuing the purposes of Muglo, as stated in the Constitution.
2.1.1 Individual membership is available for an individual. This membership is entitled to one subscription to any Muglo publications, one vote during elections, and participation in Muglo activities.
2.1.2 Applications for membership shall be forwarded to the Webmaster/Membership Recorder, who will initiate the MUGLO List subscription. Each application must be accompanied by the approved fee, if any.
2.1.3 Any member may resign from Muglo by notice to the Webmaster/Membership Recorder. Fees for any unexpired term of the membership year are not refundable.
2.1.4 Members in good standing shall be those admitted to membership and who have paid all required fees to Muglo. Members whose annual fees are in arrears for a period of one month shall be suspended from membership and no longer receive any club publications nor permitted to vote, make nominations or hold office in Muglo. The Webmaster/Membership Recorder shall inform those concerned of this suspension in writing. If the fees remain unpaid for a further three months, the members shall be deemed to have resigned.
2.1.5 Members whose conduct is considered by the Executive to be contrary to the stated purposes of Muglo shall be asked by that committee to explain or justify their actions. If these members are unwilling or unable to do so, they shall be asked by the Administration to resign from Muglo. If they do not resign, the Executive shall give proper notice of motion, to be considered at the next general meeting, requesting the expulsion of these members. A copy of this motion shall be communicated to the members concerned in time for these persons to make a written response. If a response is made, it shall be circulated with the notice of motion. Approval of such a motion shall require a two-thirds majority secret ballot conducted at the meeting. The members concerned shall be invited to attend the meeting and to explain their positions before the vote is taken.
3.0 Annual Dues shall be established by the Muglo Executive no later than October for the next calendar year.
4.0 Quorums of the Muglo membership shall consist of the Muglo membership in the current Muglo List, provided that at least two weeks' notice is given to the Muglo membership that a voting process will be performed on the Muglo List. Quorums of the Muglo Executive shall consist of the majority of the current Officers.
5.0 Election of Officers: The Executive offices of President, Secretary/Treasurer, and Webmaster/Membership Recorder, shall be filled through an election process on Muglo, to take effect at the end of said voting period. Vacancies in the elected offices that occur before the next election may be filled, and such other Executive Officers as may be required, shall be appointed by a majority vote of the remaining elected officers.
5.1 Only full members in good standing of Muglo are eligible to serve as officers.
5.2 Nominations for the offices of President, Secretary/Treasurer and Webmaster/Membership Recorder, shall be announced on Mugloline in May of each year. Such nominations shall be received by the Secretary in writing, or by email, before the voting. A Returning Officer shall be appointed at nominating time.
6.0 Finances: all funds received by Muglo shall be pooled and shall become the responsibility of the Treasurer.
6.1 Costs: All non-routine disbursements made by Muglo shall be approved by the Executive, or by the President if a matter of expediency. Routine disbursements are the responsibility of the Treasurer. All cheques shall be signed by the Treasurer. All expenditures in excess of $400.00 (four hundred dollars) that are not included in the budget for the current fiscal year shall require approval of the general membership of Muglo, granted by a motion passed online, provided that notice of that motion is included in the agenda circulated online.
6.2 Muglo shall not incur debts by borrowing money unless prior approval for such an action has been obtained by passage of a motion by a two-thirds majority of votes cast online, provided that notice of this motion is included in the agenda circulated online.
6.3 No officer or member of a committee shall receive any remuneration for duties performed on behalf of Muglo, but these persons may be reimbursed for reasonable expenses incurred while performing these duties.
7.0 Copy and Resale Policy: Muglo shall neither allow nor condone the copying or distribution of copyrighted software or documentation, or of material clearly marked "Not for Resale" or similar, at any function or gathering sponsored by Muglo.
8.0 Rules of Order: Common courtesy will be displayed at all times and "Robert's Rules of Order" shall apply.
Approved by Muglo membership by means of a general meeting held online from February 24, 1999 to March 7, 1999
