Represent NDH Capital Corporation, JRH Capital Corporation, JRH American Capital, Inc., SNHP Capital Corporation (the “NDH Group”) the purchase and sale of promissory notes and other absolute unconditional payment obligations issued by limited partnerships, limited liability companies and corporations as well as the sale and purchase of annuities and other payments secured by obligations of credit worthy companies.  Work extensively with major financial institutions (especially major insurance companies), real estate developers and syndicators, securities dealers and corporate borrowers (primarily including Fortune 1000 companies and utilities) and their attorneys in connection with preparation and negotiation of financing documents relative to investments in limited partnerships and limited liability corporations which have been formed to develop and/or operate affordable housing units, as well as the closing of loan transactions (totaling approximately $2.5 billion).  Consultant for major law firms in the preparation of private placement memoranda and other documents involving such limited partnerships and limited liability companies. 

 

In addition to representing the NDH Group, the practice includes numerous commercial numerous commercial real estate matters (office buildings, shopping centers) and other residential real estate clients (one and two family houses, condominium and cooperative apartment units), including representation of purchasers, sellers, mortgagees, mortgagors, landlords, and tenants (office leases, store leases, ground leases, 99 year leases, air rights, etc. 

 

An approved residential mortgage closing attorney for: Bank of America; ABN AMRO Mortgage Group, Inc.; Chevy Chase Bank; Countrywide; Fremont Investment & Loan; GMAC; and Option One Mortgage Corporation.  Also, an approved closing attorney for JP Morgan Chase Bank. Former residential mortgage closing attorney for Apple Bank For Savings (New York), where I closed hundreds of residential transactions, refinances, etc.) and preparation of last will and testaments, health care proxies, living wills, and probate and administration of estates. 

 

Retained in connection with commercial and personal litigation matters, including personal injury and contract disputes.  Handle matters for small and large corporations and limited liability companies.

Prior experience includes collection matters for financial institutions and other entities (including successors in interest to the Resolution Trust Corporation); General Counsel for an investment banking/equipment lease finance company in Westbury, New York (transactions involved financing of equipment leases for major corporations, and the sale of loans from equipment lessors to financial institutions); Senior Associate for a Garden City law firm (closed a substantial volume of residential mortgage loans and commercial loans for major New York commercial and savings banks; experience also included drafting and reviewing commercial leases; drafting documents for commercial loan transactions, review and analysis of title reports and commitment letters as well as research of issues and preparation of complaints, motions and other litigation documents); Associate General Counsel for an investment banking company in New York, New York (transactions included sale of notes issued by partnerships, corporations or individuals, many of which were guaranteed by surety bond to financial institutions); and “in-house” attorney for Rose Associates, Inc., a real estate developer in New York, New York (responsibilities included representing the company in the sale of condominium apartments and cooperative apartment units; closing several hundred residential units and a number of commercial units; preparing amendments to offering plans; supervising another attorney and handling real property transfer gains tax procedures and refund applications) .
